By accessing or using OmniGST, you agree to be bound by these Terms of Service. If you are using OmniGST on behalf of an organization (e.g., an accounting firm or a registered company), you represent that you have the authority to bind that organization to these terms.

1. Description of Service

OmniGST provides an AI-powered data extraction and auditing tool designed to assist New Zealand businesses and accounting professionals in processing invoices and receipts.

2. User Responsibilities & AI Disclaimer (Crucial)

• Not a Tax Agent: OmniGST is a productivity and data-processing tool. We are not registered tax agents and do not provide tax, legal, or accounting advice.
• AI Limitations: While our system employs a deterministic rule engine to flag GST anomalies, artificial intelligence can occasionally misinterpret data due to poor image quality or non-standard receipt formats.
• Final Verification: You, the user, are solely responsible for verifying the accuracy of all extracted data before finalizing any GST returns or submitting financial records to the Inland Revenue Department (IRD). Omni Cortex Limited accepts no liability for errors in tax filings.

3. Account and Token System

• Freemium + Token Model: Access to premium processing features requires the use of OmniGST Tokens. Tokens are consumed upon the successful processing of uploaded documents.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials.

4. Limitation of Liability

To the maximum extent permitted by New Zealand law, Omni Cortex Limited shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in any way connected with your use of OmniGST, including but not limited to penalties, interest, or fines imposed by the IRD or other tax authorities.

5. Governing Law

These terms are governed by and construed in accordance with the laws of New Zealand. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Auckland, New Zealand.
